1. General Terms of Service

  1. The general terms of service (hereinafter: Terms) of ProfiLetter, represented by the company 5 E d.o.o. (hereinafter: Company), form an integral part of all contracts between the Company and service clients (hereinafter also: Clients) doing business with the Company.
  2. The provisions of these Terms also apply to all offers, quotes, preliminary agreements, business declarations, and other services arising from business dealings between the Company and the Client.
  3. These Terms are drafted in accordance with the Consumer Protection Act (ZVPot), the General Data Protection Regulation (GDPR), the applicable Personal Data Protection Act, and the Electronic Communications Act (ZEKom-1).
  4. These Terms define the operation of the Company’s services, the rights and obligations of the user, and regulate the relationship between the Company and the Client.
  5. Definitions:
    • Client is any natural or legal person engaged in a business relationship with the Company, regardless of their legal or corporate status.
    • Consumer is any Client who is a natural person acquiring or using the Company’s goods or services for personal purposes outside of their professional or economic activities.
    • Offer is a general term for an offer in various forms, a quote, or another proposal for entering into a contract, which the Company presents to the Client.
    • Contract is a written agreement concluded between the Company and the Client. An offer or quote sent by the Company and accepted or confirmed by the Client is also considered a contract. These Terms are an integral part of every contract.
    • Subject of the Contract refers to the services provided by the Company.
  6. The Company is committed to providing the following information on its website at all times:
    • Company identity (company name, headquarters, registration number, VAT ID, registry details, and entry number),
    • Contact details (email address, phone number),
    • Information about the essential characteristics of the services,
    • Clearly stated prices, including information on additional tax charges,
    • Payment methods,
    • Offer validity period,
    • Terms and deadlines for contract cancellation,
    • Liability for material defects,
    • Information about the complaint procedure.
  7. The Company commits not to impose any unfair contractual conditions on consumers in accordance with the provisions of ZVPot. Unfair contractual terms are void.
  8. Company’s Working Hours: Monday to Friday: 8:00 AM to 4:00 PM.

2. Application of the Terms of Service

  1. These Terms take precedence and fully replace any missing, different, or conflicting contractual provisions between the Company and the Client.
  2. These Terms replace any general terms and other Client documents unless the Company explicitly excludes their application in writing.
  3. These Terms form an integral part of contracts concluded between the Company and the Client. By signing the contract or otherwise entering into a contractual relationship, the Client fully agrees with the content of these Terms.
  4. These Terms are binding on the consumer only if they have been expressly informed of their existence before the conclusion of the contract, quote, preliminary agreement, or offer. The consumer must have the opportunity to fully understand the Terms in a clear and accessible manner.

3. Amendments to the Terms of Service

  1. The Company commits to publishing any changes to the Terms on the website https://profiletter.com with the effective date of the change.
  2. The Terms are binding in the form and content available to both parties at the time of contract conclusion.
  3. If the Client does not agree with the amended Terms, the Company has the right to terminate the contract.
  4. If any provision of the contract or the Terms is invalid or unenforceable or if a legal gap arises, the remaining Terms remain in effect. The contracting parties agree that a provision that best reflects the intent of the contract will replace the invalid provision.

4. Final Provisions

  1. If any provisions of these Terms are wholly or partially invalid, the remaining provisions remain in effect. Invalid provisions shall be replaced by statutory regulations.
  2. If disputes cannot be resolved amicably, the competent court in Ljubljana shall have jurisdiction over all disputes.
